Deliverable Ownership

Custom deliverables created specifically for your engagement transfer to your ownership upon full payment, subject to our retention of rights to underlying methodologies and tools. This transfer is documented in individual service agreements.

5. Fees and Payment

Fees for services are specified in individual agreements. Listed prices on our website represent standard rates and may be adjusted based on specific requirements, complexity, or timeline constraints.

Payment Terms

  • Invoices are payable within 30 days of issue
  • Payment methods include bank transfer and approved credit facilities

Refunds and Cancellations

7. Warranties and Disclaimers

Service Warranties

We warrant that services will be performed with professional care and skill. Custom solutions will substantially conform to documented specifications when used in accordance with provided guidelines.

Disclaimer of Other Warranties

Except as expressly stated, services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for particular purpose.

Results Disclaimer

We do not guarantee specific business outcomes or results. AI implementation success depends on multiple factors including data quality, organizational readiness, and user adoption, many of which are outside our control.

8. Limitation of Liability

To the maximum extent permitted by Singapore law, our total liability for any claims arising from services shall not exceed the fees paid by you for the specific service giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.

These limitations apply regardless of the legal theory on which claims are based, whether contract, tort, negligence, or otherwise.

9. Indemnification

You agree to indemnify and hold harmless synapse syse, its employees, and contractors from claims, damages, and expenses arising from:

  • Your use of our services in violation of these terms
  • Your violation of applicable laws or third-party rights
  • Inaccurate or incomplete information you provide
  • Your implementation or use of deliverables

10. Termination

Termination by Either Party

Either party may terminate services with written notice as specified in individual agreements. Minimum notice periods typically range from 30 to 60 days depending on service type.

Immediate Termination

We may immediately terminate services if you materially breach these terms, engage in fraudulent activity, or fail to make required payments.

Effects of Termination

Upon termination, you remain liable for fees for services rendered. We will provide transition assistance as outlined in service agreements. Confidentiality obligations survive termination.

11. Dispute Resolution

Informal Resolution

In the event of any dispute, both parties agree to first attempt informal resolution through good faith negotiations between authorized representatives.

Mediation

If informal resolution fails, parties agree to mediation before pursuing other remedies. Mediation will be conducted in Singapore by a mutually agreed mediator.

Arbitration and Jurisdiction

Disputes not resolved through mediation will be submitted to arbitration in Singapore under the Singapore International Arbitration Centre (SIAC) rules. These terms are governed by Singapore law.

12. General Provisions

Entire Agreement

These terms, together with specific service agreements, constitute the entire agreement between parties and supersede all prior understandings.

Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated with reasonable notice. Continued use of services after changes constitutes acceptance.

Severability

If any provision is found invalid or unenforceable, remaining provisions continue in full force. Invalid provisions will be modified to achieve the intended purpose to the extent possible.

No Waiver

Failure to enforce any provision does not constitute waiver of that provision or any other provision.

Assignment

You may not assign or transfer these terms or any rights hereunder without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
